 DOING BUSINESS IN TUNISIA

Registration Requirements:

Procedure 1. Deposit capital in a bank opened in the name of the company to be incorporated

Time to complete: 1 day

Cost to complete: no charge

Procedure 2. Register the Articles of Association with the tax administration in Guichet Unique (API) desk and obtain a certificate attesting that a declaration has been filed

Time to complete: 1 day

Cost to complete: TND 15 per page

Comment: Six original copies of the articles should be deposited with the tax administration, two original copies are kept by the tax administration and eight registered copies are delivered to the company for the purpose of the various formalities required (it is worth noting that the number of registered copies required for the formalities is three : two registered copies of the articles should be deposited with the greffe du tribunal and one registered copy should be filed with the Tax Control Desk. If the company is eligible to the incentives of the Investment Incentives Code and enjoys the status of a totally exporting company (i.e. less than 30 % turnover is made in the local market), the registration is filed with Fiscal revenue service in Guichet Unique (API) desk free of charge.

Procedure 3. File declaration of existence with the Tax Control Desk (Contrôle des Impôts) and obtain carte d'identification fiscale

Time to complete: 1day

Cost to complete: no charge

Comment: The following documents are filed:
a) A printed form provided by the office to be signed;
b) A registered copy of the articles of association;
c) A copy of the minutes of the nomination of the managers in case the managers are not designated by the articles;
d) A copy of the national ID card of the managers (a copy of the passport for foreigners);
(e) a copy of the rent agreement or the certificate of ownership of the premises where the head office is located;f) any administrative authorisation that would be required to start business.

The procedure takes from 3 to 4 days.

Procedure 4. Deposit documents at the Greffe du Tribunal

Time to complete: 1 day

Cost to complete: TND 15

Comment: The following documents are filed:
a) 2 printed forms provided by the office to fill-out and sign by the depositors;
b) Declaration of honour signed by the managers in two copies (forms provided by the office)
c) 2 copies of the registered statutes;
d) 2 copies of the minutes that nominate the managers in case the managers are not designated by the articles;
f) Arabic translation of the main clauses of the articles;
g) 2 copies of the declaration of starting business with the tax administration and of the tax ID card;
h) 2 copies of the document providing the headquarters address;
I) 2 copies of the national ID card of the manager(s) (2 passport copies for foreigners);
j) 15 dinar fiscal stamp;
k) A proxy if the formalities are undertaken by a party other than the manager.

Procedure 5. Advertise in the Official Gazette (JORT) with the Government Printing Office and in two dailies

Time to complete: 7 days

Cost to complete: TND 200

Comment: Advertising of the incorporation of a company shall be made in the Official Gazette as well as in two daily newspapers, one of which should be in Arabic language. The founders or any duly authorized person have to visit the counter of the Official Gazette as well as the counter of a daily newspaper (many publications have their Arabic and French newspaper).

File the following documents: Texts of the opinion to publish in Arabic and French languages (to be provided in typed form); A copy of the announcer's national ID card. (References of the attestation of the deposit of an investment project declaration.) The procedure does not stop the following procedures.

Procedure 6*. Register with the Registre du Commerce at the Greffe du Tribunal

Time to complete: 1 day

Cost to complete: TND 5 per excerpt, 3 excerpts are needed

Comment: The receipt of payment of the advertising in the official gazette should be filed in order to obtain the excerpt of the court's company record.

Procedure 7*. Register for social security

Time to complete: 1 day

Cost to complete: TND 5

Procedure 8*. Get inspected by the National Social Security Fund (CNSS)

Time to complete: 1 day

Cost to complete: no charge

Comment: The agents of the National Social Security Fund are entitled by law to visit the company premises at any time in order to check whether the company is complying with the laws and regulations.

Procedure 9*. File a declaration with the labor inspectorate.

Time to complete: 1 day

Cost to complete: no charge

Comment: Three dated and signed copies of the declaration should be notified by registered mail. The declaration should specify:
1) the name, head office, business and addresses of the premises of the company;
2) name, age, nationality and address of the manager;
3) social security affiliation number;
4) number of permanent, seasonal positions within the company at the time of the declaration as well as the name, age, nationality and professional skills of the employees;
5) the number, date of issuance and validity of the residence card for foreign workers.

Procedure 10*. Make company seal

Time to complete: 1 day

FORMS OF BUSINESS ORGANISATION

Sole proprietorship

Number of partners/shareholders:
1 person.

Minimum and/or maximum capital:
No minimum capital.

Liability:
The owner is liable for the company's debts on his personal assets.

Release of financial documents:
No

SARL is Private Limited Company

Number of partners/shareholders:
Minimum 2 partners.

Minimum and/or maximum capital:
Minimum TND 1,000. Minimal nominal value of one part has to be TND 5.

Liability:
Liability is limited to the amount contributed.

Release of financial documents:
No

SA is a Public Limited Company

Number of partners/shareholders:
Minimum 7 partners.

Minimum and/or maximum capital:
No minimum capital. 1/4 of the capital must be released at the incorporation. The remainder must be paid within maximum 5 years.

Liability:
Liability is limited to the amount contributed.

Release of financial documents:
Yes

General partnership.

Number of partners/shareholders:
Minimum 2 partners.

Minimum and/or maximum capital:
No minimum capital.

Liability:
Liability is unlimited.

Release of financial documents:
No

Limited partnership.

Number of partners/shareholders:
2 types of partners: active partners and sleeping partners.

Minimum and/or maximum capital:
No minimum capital.

Liability:
Liability of active partners is unlimited. Liability of sleeping partners is limited to the amount contributed provided that they do not take part in the company management.

TAXATION

The standard corporate tax rate was 35% in 2002, but a reduced 10% is assessed on income from crafts businesses, fishing, boat outfitting, agricultural activities and service or consumption cooperatives. Exporting resident companies are exempt from most taxes. However, all companies are liable to a minimum tax of 5% of turnover, with a ceiling of 2,000 Dinar (about $1,470). There is also a 0.2% turnover tax on industrial and commercial establishments. Capital gains are taxed at 35%. Dividend income is not taxed, but income from royalties is subject to 15% withholding.Personal taxes include a progressive income tax (15-35% in 2002) and a benefits tax levied on gross salaries and paid quarterly by the employer to the National Social Security Fund. The inheritance (succession) tax is 6%.

The main indirect tax is Tunisia's value-added tax (VAT), with a standard rate of 18%, up from 17% as of 15 May 2001. A reduced rate of 10% is charged on internet connections and imported school books. The VAT rate on luxuries was increased from 25% to 26%.
